Terms of Service

These Terms of Service govern your use of the Heroic Solutions website, including our quote request, carrier application, contact, and chat features. Please read them carefully, because by using the Site you agree to them.

1. About These Terms

These Terms of Service (“Terms”) form an agreement between you and Heroic Solutions, located at 1910 Pacific Ave, Suite 2000-1416, Dallas, TX 75201, United States (“Heroic Solutions,” “we,” “us”). They apply to your use of heroicsolutions.net and any related pages, forms, and tools (the “Site”).

If you use the Site on behalf of a company, you confirm that you are authorized to accept these Terms for that company, and “you” includes the company. If you do not agree with these Terms, please do not use the Site.

2. Eligibility

The Site is intended for business users and adults. You must be at least 18 years old and able to enter into a binding contract to use it. The Site is aimed at users in the United States, Canada, and Mexico.

3. Our Role as a Freight Broker

Heroic Solutions is a licensed property broker. We arrange for the transportation of freight by independent, authorized motor carriers. We are not a motor carrier. We do not own or operate trucks, employ drivers to haul freight, or take possession, custody, or control of your cargo.

• The motor carrier that transports a shipment is responsible for the safe transportation and delivery of the freight, and for loss or damage to cargo in its care, as provided by federal law, including 49 U.S.C. § 14706 (commonly known as the Carmack Amendment), the carrier’s contract, and the bill of lading.
• We may help shippers file and follow up on cargo claims against carriers, but doing so does not make us liable as a carrier.
• Carriers we work with are independent contractors. They are not our employees, agents, or partners.

Nothing on the Site changes our status as a broker or makes us responsible for the acts or omissions of any carrier, shipper, consignee, or other third party.

4. Quotes Are Not Binding

Information you receive through the Site, including through the quote request form, email replies, or the chat assistant, is for planning purposes only. Any price, transit time, or availability we share before a load is booked is an estimate. It is not an offer, and it does not create a contract.

A shipment is booked only when both parties confirm it in writing. Final rates depend on accurate shipment details, and may change if the actual weight, dimensions, commodity, locations, dates, or handling needs differ from what was provided. Extra services and charges, such as detention, layover, lumper fees, tarping, driver assist, or rescheduling, may apply.

5. Written Agreements Control

Actual freight services are governed by separate written documents, such as a shipper or customer agreement, a broker-carrier agreement, a rate confirmation, and the bill of lading. If anything in these Terms conflicts with one of those signed or accepted documents, that document controls for the shipment it covers. These Terms govern your use of the Site only.

6. Shipper Responsibilities

If you request a quote or tender freight through the Site, you agree to:

• Provide complete and accurate information about the freight, including commodity, weight, dimensions, value, and any special handling or temperature needs.
• Tell us in advance if a shipment includes hazardous materials, high-value goods, or items that need special permits or equipment. We may decline any shipment.
• Make sure the freight is properly packaged, labeled, and ready for pickup at the agreed time.
• Follow all applicable laws, including export, import, and customs rules for shipments to or from Canada or Mexico.

7. Carrier Applications and Onboarding

If you apply to haul freight with us through our carrier application, you agree that:

• All information and documents you submit, including your MC and USDOT numbers, W-9, certificate of insurance, and operating authority, are true, current, and belong to your company.
• We may verify your information with the FMCSA, insurance providers, carrier monitoring and identity verification services, and other sources, and may continue to monitor your authority, safety record, and insurance while you work with us.
• Submitting an application does not guarantee approval or any volume of loads. We may approve, decline, or remove a carrier at our discretion, including for failing to meet our safety, insurance, or fraud prevention standards.
• No load may be hauled until you have signed our broker-carrier agreement and accepted a rate confirmation for that load.
• You will not re-broker, co-broker, assign, or subcontract any load unless we approve it in writing.

Submitting false information, using another company’s identity or authority, or attempting double brokering is grounds for immediate rejection and may be reported to authorities.

8. Using the Site

You agree to use the Site only for lawful business purposes. You agree not to:

• Submit false, misleading, or fraudulent information, or pretend to be another person or company.
• Upload viruses, malware, or harmful code, or try to disrupt or overload the Site.
• Try to access parts of the Site or our systems that you are not authorized to use.
• Use bots, scrapers, or other automated tools to collect data from the Site without our written permission.
• Send spam or unsolicited messages through our forms or chat.
• Use the Site in a way that violates any law or the rights of others.

We may suspend or block access to the Site for anyone who violates these Terms.

9. Website Chat Assistant

The chat assistant on our Site uses artificial intelligence provided by a third party to generate replies. Its answers are automated and may be incomplete or wrong. Chat replies are general information only and are not a quote, rate confirmation, legal advice, or commitment by Heroic Solutions. For anything important, confirm with our team directly. Please do not share sensitive information such as Social Security numbers or bank details in the chat. Our Privacy Policy explains how chat messages are handled.

10. Communications and Text Messages

By submitting your contact details through the Site, you agree that we may contact you by phone, email, or text message about your request, application, or shipments. Where required, we will get your consent before sending automated or marketing texts. You can opt out of texts at any time by replying STOP. Message and data rates may apply. Consent to marketing messages is not a condition of doing business with us.

11. Content You Submit

You keep ownership of the information and documents you submit. You give us permission to use, store, copy, and share them as needed to respond to you, provide our services, verify carriers, and meet legal obligations, as described in our Privacy Policy. You confirm that you have the right to share anything you submit and that it does not violate anyone else’s rights.

12. Intellectual Property

The Site and its content, including text, graphics, logos, images, and design, are owned by Heroic Solutions or its licensors and are protected by copyright, trademark, and other laws. You may view and print pages for your own business use. You may not copy, modify, republish, or distribute Site content, or use our name or logo, without our written permission.

13. Accuracy of Website Content

Content on the Site, such as service descriptions, coverage areas, industry articles, and general freight information, is provided for general information only. We try to keep it accurate and current, but we do not guarantee that it is complete, error-free, or up to date. It is not legal, tax, customs, or regulatory advice. We may change or remove content at any time without notice.

14. Third-Party Links and Services

The Site may link to or rely on third-party websites and services, such as carrier onboarding portals, mapping tools, AI providers, and social media. We do not control those services and are not responsible for their content, availability, or practices. Your use of them is at your own risk and subject to their terms.

15. Disclaimer of Warranties

The Site is provided “as is” and “as available.” To the fullest extent allowed by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise that the Site will always be available, uninterrupted, secure, or free of errors or viruses.

16. Limitation of Liability

To the fullest extent allowed by law, Heroic Solutions and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising from or related to your use of, or inability to use, the Site, even if we were told such damages were possible.

Our total liability for any claim arising from or related to the Site will not exceed one hundred US dollars (US $100). This section applies to your use of the Site only. Liability for freight services, including cargo loss or damage, is governed by the applicable written agreements, rate confirmations, bills of lading, and law described in Sections 3 and 5.

Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

17. Indemnification

You agree to defend, indemnify, and hold harmless Heroic Solutions and its owners, employees, and agents from any claims, losses, damages, and expenses, including reasonable attorneys’ fees, arising from your misuse of the Site, your violation of these Terms, or any false or inaccurate information you submit.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict of law rules, and by applicable US federal law. Any dispute arising from or related to these Terms or the Site must be brought in the state or federal courts located in Dallas County, Texas, and you consent to the jurisdiction of those courts.

19. Changes to the Site and These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Your continued use of the Site after changes are posted means you accept the updated Terms. We may also change, suspend, or discontinue any part of the Site at any time.

20. General

• Entire agreement: these Terms, together with our Privacy Policy and Cookie Policy, are the full agreement between you and us about the Site.
• Severability: if any part of these Terms is found unenforceable, the rest stays in effect.
• No waiver: our failure to enforce any part of these Terms is not a waiver of our right to enforce it later.
• Assignment: you may not transfer your rights under these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure: we are not responsible for delays or failures caused by events outside our reasonable control, such as outages, severe weather, or government action.
